How to Form an LLP in California

    • 1). Obtain Form LLP-1. After registering your business as a General Partnership, download a copy of the LLP application from the California Secretary of State website, or pick one up a your local small business office.

    • 2). Prepare Form LLP-1. Have at least one of the business' founding partners sign the form.

    • 3). Obtain a certificate of good standing, if applicable. If your business was formed in another state or country you will have to include a certificate of good standing from the agency where your business was formed. The Secretary of State, State Corporation Commission or similar entity that handles business incorporations can provide this document.

    • 4). Include a check or money order for the $70 filing fee. If you are mailing or dropping off the completed form instead of filing in person, include a separate $15 check for the processing fee. Make the check(s) payable to Secretary of State.

    • 5). File the form. Drop it off at the Secretary of State's office, 1500 11th St., 3rd Floor, in Sacramento. Or, mail the form to Secretary of State, Business Entities, P.O. Box 944228, Sacramento, CA 94244-2280.
