How to Change the Name of a PLLC in Michigan

    • 1). Complete the Articles of Organization for the PLLC. The registered agent must complete this form and submit it, with a fee of $110, to the Bureau of Commercial Services, part of Michigan's Department of Energy, Labor & Economic Growth. Once the form is reviewed and approved, you will receive a certificate of organization from the state.

    • 2). Research the availability of the new name. No two PLLCs in Michigan can carry the same name. Visit the state's website (see Resources) that allows you to check whether your proposed name is available.

      The Bureau of Commercial Services restricts the use of certain words and phrases in naming PLLCs (see Resources). All names are subject to final approval by the state.

    • 3). Complete the Amendment to Articles of Organization form (see Resources) to change change the name of an existing PLLC. This document must be completed and signed by the initial agent or the manager of members (if the PLLC is made up of more than one member), then submitted to the Bureau of Commercial Services, Corporation Division, P.O. Box 30054, Lansing, MI 48909 with a $25 fee. The office will review the amendment, file the original document and send a copy back to you with the filing information shown.

    • 4). Complete forms to make other changes to a PLLC in Michigan. To combine several names in one PLLC, a Restated Articles of Organization form can be completed and signed by the initial agent or the manager of members (if the PLLC is made up of more than one member), then submitted to the Bureau of Commercial Services with a $50 fee.

      For example, if Smith Transportation PLLC also has a company known as Smith Limousine Services PLLC and Smith Taxi Services PLLC, all three names can be registered under one Articles of Organization. This will aid in the filing of annual reports and other required documents.
