How to Incorporate a Canadian Corporation in Ontario
- 1). Choose a name. Once you have a name, you must obtain a NUANS report, which verifies that your selected name is available. It can be done online at the Corporations Canada Filing Centre. The fee is $20. Alternatively, you can avoid having to obtain the NUANS report and pay the fee by applying for your corporation to have a numbered name.
- 2). Fill out and submit the Articles of Incorporation. You can do this online at the Corporations Canada Filing Centre. The fee is $200. If done via e-mail, fax, post or in person, the fee is $250. There are many fields on this form, some of which can be legally complicated, depending on the type of business that the corporation will carry on. Legal advice may be necessary.
- 3). Obtain Certificate of Incorporation. When the Articles of Incorporation have been properly submitted, Corporations Canada, the administrative body that oversees the applications, will issue a Certificate of Incorporation that states a Date of Incorporation. A specific date may be requested in the Articles of Incorporation. The Date of Incorporation will be the first day that corporation is legally set up, and the process will be complete.
